BY-LAWS

PRESBYTERIAN MEN'S COUNCIL
OF THE
SYNOD OF THE SOUTH ATLANTIC IN THE PRESBYTERIAN CHURCH (USA)

ARTICLE I
Name

The name of this organization is the "PRESBYTERIAN MEN'S COUNCIL OF THE SYNOD OF SOUTH ATLANTIC." All Presbyterian Men in the Synod are eligible for membership.


ARTICLE II
Purpose and Objectives

Section I: The basic purposes of the COUNCIL are:
 
  A:  to lead men into a vital relationship with Jesus Christ;
B:  to develop their understanding of the mission of the Church to equip them for leadership and participation in the Church;
C:  to encourage them, through their committment to Christ, to fulfill the ministry to which they are called in their homes, in their daily work, and in their ministry to other people in the community and in the world; and,
D:  to involve men of various racial and ethnic backgrounds and men of different ages in these purposes.

Section II These purposes can be realized through the following objectives of Presbyterian Men:
 
A.  to enable men to understand their identity in Christ;
B.  to deepen the spiritual life of men through Christian fellowship which finds expression in mission;
C.  to cultivate participation in programs and projects enabling men to serve Christ in their congregations and communities;
D.  to develop effective leadership skills which men cab use to fulfill their ministries where they are; and

ARTICLE III
Relationships

Section I: The COUNCIL relates through a Chartering procedure providing regular communications, advice, counsel, and program to the National Council (Board) of Presbyterian Men, which is the national governing body of Presbyterian Men as authorized by the General Assembly. The COUNCIL also relates by providing leadership, organizational help, and program to the Presbytery Councils of Presbyterian Men and local chapters of Presbyterian Men within its boundaries.
 
Section II: The COUNCIL shall determine the organization, program, and financing of the program of Synod Men's Work subject to the limitations of these By-Laws.
 
Section III: The President of the Presbyterian Men's Council, Synod, shall serve on the Synod Council.

ARTICLE IV
Operating Boundaries

The COUNCIL is authorized to function within the geographical boundaries of the Synod of South Atlantic which consists of: Georgia, Florida, and South Carolina.

ARTICLE V
Membership of Synod Men's Council

Section I: Membership of Synod's Presbyterian Men's COUNCIL shall be as follows: One (1) Representative from each of the Presbyteries, (1) Synod Representative to the National Council, (1) Pastor Advisor, and the Officers defined in Article VI, whether or not they serve as presbytery representatives also.
   
  The Synod Executive and Presbytery Executives are invited to attend all Synod Presbyterian Men's Council Meetings and serve in an ex-officio capacity.
   
Section II: Membership of the Synod Men's COUNCIL shall consist of the following:
   
  A.   Presbytery Representatives (PR)
  1.   One (1) man with interest in and commitment to the purpose of Presbyterian Men, shall be elected by each presbytery in accordance with it's established procedure, who shall be designated Presbytery Representative to the Synod Men's COUNCIL.  The COUNCIL membership shall be concerned with young men in the Church and with representative balance.
  2.   Each Presbytery should nominate at least one (1) Alternate Presbytery Representative to insure representation at each meeting of Synod's COUNCIL.

  B.   Synod Representative (SR)
  1.   The Presbyterian Men's COUNCIL of the Synod of South Atlantic or the National Council (Board) of Presbyterian Men, shall provide the Synod Nominating Committee with the name of a man with interest in and commitment to the purposes of Presbyterian Men as a Nominee for the position of Synod Representative (SR) to the National Council (Board) of the Presbyterian Men.
  2.   The Synod Representative to the National Council (Board) of the Presbyterian Men Shall be elected for a term of two (2) years.
  3.   The Synod Representative to the National Council (Board) of Presbyterian Men may be eligible for one (1) additional two (2) year term.

  C.   Pastor Advisor (PA)
  1.   The Presbyterian Men's Council of the Synod of South Atlantic shall provide the Synod Nominating Committee with the name of a Pastor with interest in and commitment to the purposes of Presbyterian Men as a Nominee for the position of Pastor Advisor (PA) to the Synod Men's COUNCIL.
  2.   The Pastor Advisor to the Presbyterian Men's COUNCIL of the Synod of South Atlantic shall be elected for a term of two (2) years.
  3.   The Pastor Advisor to the Presbyterian Men's COUNCIL of the Synod of South Atlantic may be eligible for one (1) additional two (2) year term.

ARTICLE VI
Officers and Duties

Section I: The Officers of the COUNCIL shall consist of a President, a President-Elect, a Vice-President, a Secretary, a Treasurer, and a Man in Mission, all of whom shall be elected in odd-numbered years for two year terms. These officers need not be Presbytery representatives.
   
  The Synod Representative, and the Pastor Advisor, shall serve as officers of the COUNCIL, for the terms for which they have been elected by the Synod.
   
Section II: The President shall promote, support, and interpret the organization within the Synod. The President shall preside at all meetings of the COUNCIL, and all meetings of the Executive Committee. He shall be an ex-officio member of all other committees of the COUNCIL. The President shall serve on the Synod as an ex-officio with voice and vote.
   
Section III: The President-Elect shall assist the President in his duties at his request. The President-Elect shall coordinate the development of local Chapters through Presbytery Councils.
   
Section IV: The Vice-President assumes the duties of the President in his absence. The Vice President shall serve as Program Chairman and plan the annual conference three (3) years in advance.
   
Section V: The Secretary shall record Minutes of all meetings. He will maintain all records of the COUNCIL and Executive Committee.
   
Section VI: The Treasurer shall receive, deposit, disburse, and account for all funds of the COUNCIL in accordance with the directives of the COUNCIL. and the Executive Committee. He shall ensure the books of account are audited annually.
   
Section VII: The Synod Representative represents the Synod Men's COUNCIL at the National Council (Board) of Presbyterian Men meetings. He communicates the actions and programs of the Synod Men's COUNCIL to the National Council (Board) of Presbyterian Men and communicates the actions and programs of the National Council (Board) of Presbyterian Men to the Synod Men's COUNCIL. The Synod Representative, in consultation with the President or Vice-President, coordinates the activities of Synod Men in Mission (MIM). A MIM is a solicited Presbyterian man who volunteers to assist the Synod Representative in developing and preserving the Synod Presbyterian male constituency through the local Church sand Presbyterian Men's Councils.
   
Section VIII: The Pastor Advisor to the Presbyterian Men's COUNCIL of the Synod of South Atlantic shall be its spiritual counselor. He shall be on call by the President and/or the COUNCIL to perform such other duties and responsibilities as they require.
 
Section IX: The Man in Mission shall promote and coordinate the participation of Presbytery Representatives, and shall maintain records of Presbyterian Men Organizations within Presbyteries and shall continually inform Presbytery Executives of the status of the Council and the Presbytery Representatives, especially when a Presbytery Representative is inactive or when the position is vacant.

ARTICLE VII
Executive Committee

Section I: The Executive Committee of the COUNCIL shall be Composed of the following members: The President, President-Elect, Vice President, Secretary, Treasurer, Synod Representative, Pastor Advisor, and Man in Mission.
 
Section II: The Executive Committee is responsible to the Synod of South Atlantic and the COUNCIL for promoting the faithful execution of the Presbyterian Men's mission program and directives of the Synod of South Atlantic and the COUNCIL.
 
Section III: The Executive Committee shall submit an Annual Report to the Synod of South Atlantic at the Synod's Annual Meeting.
 
Section IV: The Executive Committee shall in the execution of the National Presbyterian Men's mission and directives of the COUNCIL take such action as is necessary to coordinate its programs with the work of the whole Church, and to this end, shall coopt its meetings such advisory personsas maybe needed.

ARTICLE VIII

Meetings

Section I: The Council shall meet at least once annually, with the meeting date(s), time(s) and location(s) to be determined the Executive Committee.
   
Section II: Special Meetings:
  A special meeting of the COUNCIL may be called by four (4) members of the Executive Committee.
   
Section III: Meeting Notice:
  Notice of all COUNCIL meetings and a proposed agenda will be given in writing to all members at least thirty (30) days in advance of the meeting.
   
Section IV: Quorum:
  A quorum shall be at least three (3) members of the Executive Committee and any other five (5) members of the COUNCIL.

ARTICLE IX
Nominations and Elections

Section I: At the January Meeting a Nominating Committee consisting of three (3) members shall be appointed by the President with the approval of the Executive Committee and shall be composed of the following members:
   
  A. The Past President of the COUNCIL who shall serve as Chairman and Convener. If the Past President is unavailable, the Executive Committee shall appoint a Chairman and a Convener from among the past Vice-Presidents of the COUNCIL; also
   
  B. Two (2) members of the COUNCIL shall be appointed by the resident and he shall give consideration to to geographic, ethnic, minority, young adults, and other areas of concern in developing the Nominating Committee.
   
Section II: The Nominating Committee shall meet at the call of the Convener and shall nominate one (1) candidate for each office of the COUNCIL. The Nominating Committee will counsel with the Executive Committee and with Chairpersons of appropriate Synod Units and other Committees with regard to additional information on prospective nominees.
   
Section III: The Nominating Committee shall give consideration to geographic, ethnic, minority, young adults, and other areas of concern in developing a slate of nominees.
   
Section IV: The Nominating Committee shall determine that each nominee shall be willing and able to serve, if elected, before the final report of nominees is submitted to the COUNCIL.
   
Section V: Opportunity shall be given for any additional nominations which maybe made by an member of the COUNCIL present at the Annual Meeting, provided the nominees have indicated their willingness to serve, if elected.

ARTICLE X
Committees

Section I: Special committees and task forces deemed necessary to promote the goals and objectives of this organization may be appointed by the President with approval of the COUNCIL.
   
Section II: The chairperson for each special committee and task force shall be appointed by the President in consultation with the COUNCIL. The term of service shall be set by the COUNCIL.

ARTICLE XI
Amendments

Section I: These By-Laws may be amended by a two-thirds (2/3) vote of the members present and voting at any meeting of the COUNCIL providing the proposed amendment was included in the call of the meeting which was mailed to the members at least thirty (30) days before the meeting.
   
Section II: An amendment may be proposed by any member of the COUNCIL if submitted in writing to the President in advance of the meeting to permit distribution to the COUNCIL members at least thirty (30) days before the meeting.
   
Section III: The Executive Committee is hereby empowered without further action by the COUNCIL to incorporate any amendment to these By-Laws that may be made by action of the Synod of South Atlantic provided that such amendment shall be reported at the next meeting of the COUNCIL.
   
Section IV: Other amendments may be proposed at any meeting of the COUNCIL from the floor, but said amendments shall not be voted on until the next meeting.
   
ARTICLE XII
Effective Date

Section I: These By-Laws were adopted by the COUNCIL at a meeting held on May 1, 1999, and shall become effective immediately upon their approval by the Synod of South Atlantic as the By-Laws of the Synod of South Atlantic may require.
